Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Absolute Best Pharmacies, accessible at abpharmacies.com (the "Site"), owned and operated by Lydia Hartley ("we," "us," or "our"). By accessing or using the Site, content, features, or services provided on or through the Site (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.

These Terms include mandatory arbitration and a class action waiver in the section titled "Binding Arbitration and Class Action Waiver," which affects your rights. Please read them carefully.

Eligibility and Scope

The Service is intended for individuals who are at least 18 years of age and reside in the United States. By using the Service, you represent that you are legally capable of entering into a binding contract and meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that you agree to these Terms on its behalf.

We may update or modify these Terms from time to time in our sole discretion. Material changes will be indicated by updating the "Last Updated" date and, when required by law, by providing additional notice. Your continued use of the Service following the posting of changes constitutes acceptance of the revised Terms. We may modify, suspend, or discontinue all or part of the Service at any time without liability.

Account Registration and Security

To access certain features, you may be required to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized use or suspected breach of security. We reserve the right to refuse registration, suspend, or terminate accounts at our discretion.

Health and Medical Information Disclaimer

The Service provides general information about pharmaceuticals, medications, diseases, and supplements for educational purposes only. The content is not medical advice, diagnosis, or treatment, and it is not a substitute for professional judgment by healthcare providers. No Pharmacy, Medical, or Emergency Services

We do not provide medical, clinical, diagnostic, or therapeutic services. We do not dispense, prescribe, or fill prescriptions and do not operate as a pharmacy or telehealth provider. Any references to medications, dosing, interactions, or clinical guidelines are educational in nature and may not reflect the most current research or clinical standards.

User Conduct and Acceptable Use

You agree not to use the Service for any unlawful or prohibited purpose and to comply with all applicable federal, state, and local laws and regulations. Without limitation, you will not:

  • Use the Service in a manner that infringes, misappropriates, or violates the rights of any person or entity, including intellectual property, privacy, and publicity rights.
  • Provide or upload false, misleading, or deceptive information, including unapproved medical claims or off-label promotion.
  • Scrape, crawl, index, harvest, or otherwise collect information from the Service by automated means without our express written permission.
  • Introduce viruses, malware, or other harmful code, or interfere with the operation, security, or integrity of the Service.
  • Attempt to gain unauthorized access to the Service or related systems or networks.
  • Reverse engineer, decompile, or disassemble any portion of the Service except to the extent such restriction is prohibited by applicable law.
  • Use the Service to provide medical advice or services without appropriate licensure and compliance with applicable law.

Intellectual Property; License to Use the Service

The Service and all content therein, including text, graphics, logos, icons, images, compilations, and software, are owned by or licensed to us and are protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

All trademarks, service marks, and trade names, including "Absolute Best Pharmacies," are proprietary to their respective owners. No rights are granted except as expressly set forth in these Terms.

User Content; Feedback

If the Service permits you to submit, post, or transmit content ("User Content"), you retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with operating, improving, and promoting the Service.

You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate any law or third-party rights. We may remove or disable access to User Content at our discretion.

Any feedback, comments, or suggestions you provide may be used by us without restriction or compensation.

Third-Party Content and Links

The Service may reference third-party content, studies, or services. We do not control and are not responsible for third-party materials or services. Your interactions with third parties are solely between you and those third parties, and we disclaim all liability arising therefrom.

Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and disclose information. We are not a covered entity or business associate under the Health Insurance Portability and Accountability Act (HIPAA); information you provide may not be protected health information under HIPAA. Do not submit sensitive health or personal information unless you understand and consent to our data practices.

We respect intellectual property rights and will respond to notices of alleged infringement consistent with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, please send a written notice including the following information: (1) a physical or electronic signature of a person authorized to act on behalf of the owner; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (4) your contact information; (5) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.

Payment, Subscriptions, and Trials

We may offer paid features, subscriptions, or trials from time to time. Fees, billing cycles, renewal terms, and cancellation policies will be disclosed at the point of purchase. By providing a payment method, you authorize us and our payment processors to charge applicable fees and taxes. Unless otherwise stated, subscriptions renew automatically until canceled. You may cancel future renewals as instructed in your account or purchase confirmation; payments already made are non-refundable except as required by law or expressly stated.

Disclaimers of Warranties

To the fullest extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the content is accurate, complete, or current. You assume all risk for your use of the Service.

Limitation of Liability

To the fullest extent permitted by law, in no event shall we, our owners, officers, employees, contractors, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or related to the Service or these Terms shall not exceed the greater of: (a) the total amount you paid to us, if any, for access to the Service in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US$100).

Some states do not allow the exclusion or limitation of certain damages or warranties; in such states, the above limitations shall apply to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless us and our owners, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

Governing Law, Venue, and Jurisdiction

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Subject to the arbitration provision below, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois, for any dispute that is not subject to arbitration.

Binding Arbitration and Class Action Waiver

Except for claims that qualify for small claims court or for injunctive relief regarding intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by a recognized arbitration provider under its applicable rules. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Arbitration shall be conducted in Chicago, Illinois, in English, before a single arbitrator. The arbitrator shall have authority to award all remedies available in court, subject to the limitations in these Terms.

CLASS ACTION WAIVER: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out: You may opt out of this arbitration agreement by sending a written notice with your name, address, the email associated with your account (if any), and a clear statement of your desire to opt out, within 30 days of first accepting these Terms, to 2200 W Lawrence Ave, Chicago, IL 60625, or via email to [email protected]. Your opt-out will not affect other provisions of these Terms.

International Use

The Service is controlled from the United States and is intended for U.S. users. We make no representation that the Service is appropriate or available for use in other jurisdictions. You are responsible for compliance with local laws if you access the Service from outside the United States.

Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms. Upon termination, the rights and licenses granted to you will cease immediately. Sections that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law.

Notices

We may provide notices to you via email, posting on the Site, or other reasonable means. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

The Service is not directed to or intended for children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided personal information through the Service, please contact us so that we may delete the information.

Entire Agreement; Severability; Waiver; Assignment

These Terms, together with any policies or terms referenced herein, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements relating to the subject matter. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver. You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent; we may assign these Terms without restriction.
